1. Opening

These Terms and Conditions govern the supply of computer systems design and related professional, scientific and technical services by KALESHWARA LTD of 12 Stonor Road, London, United Kingdom, W14 8RZ. They apply to paid and otherwise contracted work, including custom computer programming, computing infrastructure coordination, data processing and preparation, web hosting related support, prepackaged software services, software publishing support, and related computer services. By accepting a statement of work, paying an invoice issued under a proposal, or otherwise instructing KALESHWARA LTD in writing to begin a sequence, the client agrees to these terms. 2. Time recording and estimates

3. Dependencies and third-party rooms

4. Acceptance tests and demonstration rooms

6. Escrow, source handling and handover

Unless a statement of work purchases a formal escrow, none exists. The company may retain tools that are part of its rehearsal method and not unique to the client.

The client shall provide a destination that can receive the handover. A destination that is closed, full, or unlawful pauses the count. The company is not obliged to push materials into an unnamed public location. Open-source components remain under their licences and are identified where practical.

Until invoices for the handover are paid, the company may withhold unique deliverables as the intellectual property section provides. Withholding is not destruction. Destruction or return of client materials follows the privacy and close-out marks.

7. TUPE and employment status

The parties intend that the Transfer of Undertakings (Protection of Employment) Regulations 2006 do not apply to ordinary professional services supplied by KALESHWARA LTD. Personnel remain the company's or its subcontractors'. The client shall not treat those persons as its employees.

If a client insists on a structure that might engage TUPE, it must say so in writing before the sequence is placed, and the company may decline or vary fees and indemnities. Each party remains responsible for its own employment taxes and immigration compliance.

8. Set-off, withholding and queries

The client may not set off unliquidated claims against invoices except as English law mandatorily allows. Invoice queries must be particular and timely. A query about one line does not licence non-payment of undisputed lines.

KALESHWARA LTD may set off amounts the client owes against amounts the company owes, if any. Suspension for non-payment follows the term section. Recovery costs that are reasonable may be added where the law allows.

Payment is in cleared funds. Chargebacks that are not justified are a material breach. The company does not accept cash at the studio as a default method. Reverse charge and VAT treatment follow United Kingdom rules; the client must supply tax status information that is true.

9. Confidentiality of pricing and method

Pricing, sequence marks, and the company's method notes are confidential to the engagement except as the publicity section allows. The client shall not publish the company's fees as a comparison theatre, and shall not circulate internal call sheets beyond those who need them.

The company shall not publish the client's pricing without consent. Anonymised operational studies on kaleshwara.digital will not include identifiable figures. A request to quote the company in a procurement may be accepted or refused; refusal is not a breach.

10. Additional formation rules

In relation to anti-bribery and modern slavery, the organisation treats delivery as a counted sequence: roles are placed, timing is set, and execution is rehearsed before live rooms are opened. The company maintains a zero-tolerance approach to bribery and to modern slavery in its own operations.

Where anti-bribery and modern slavery is included in an engagement, KALESHWARA LTD shall comply with the Bribery Act 2010 and the Modern Slavery Act 2015 as applicable to it. The client shall likewise comply and not request facilitation payments or bonded labour in any supply connected to the engagement. Neither party may treat silence as consent to a change of formation, count or scope.

Risk in this area is operational as well as legal. A breach of this section is a material breach. Nothing in this paragraph creates a guarantee of uninterrupted availability, a certification, a partnership, or any public award. The measure of performance is the written sequence agreed for the engagement.

Policies may be requested in writing. Notices concerning anti-bribery and modern slavery must be sent in writing to office@kaleshwara.digital and, where a formal record is required, to 12 Stonor Road, London, United Kingdom, W14 8RZ. Governing law remains the laws of England and Wales, and exclusive jurisdiction remains with the courts of England and Wales unless a mandatory rule of law requires otherwise.

43. Records, audit and cooperation

Records of the sequence are kept to the extent needed for professional practice, tax and legal duty in the United Kingdom. KALESHWARA LTD will keep time and change records reasonably sufficient to explain invoices. The client may inspect, on reasonable notice and at its cost, records directly relevant to its engagement, without fishing in unrelated rooms. Audit must not disrupt live performance unreasonably. Privilege and third-party confidentiality are respected.

The company is not obliged to create a public dashboard of records. Inspection happens in a counted room, ordinarily at 12 Stonor Road, London, United Kingdom, W14 8RZ, or by secure copy. The client shall treat inspected materials as confidential. This section survives termination for the retention period required by law. Notices: office@kaleshwara.digital.

44. Open source and third-party components

Systems work often includes third-party components under their own licences. KALESHWARA LTD will identify known third-party components in deliverables where practical. The client shall comply with those licences in its use and distribution, and shall not demand that the company conceal them. Copyleft obligations that would infect the company's own method tools will not be accepted without written agreement. The company is not the licensor of third-party components.

Prepackaged software services remain bounded by publisher terms. Custom computer programming that incorporates open-source libraries does not transfer those libraries' authorship to the client. Notices concerning components must be sent to office@kaleshwara.digital. This section is governed by the laws of England and Wales.

45. Support, training and disputes

Support after delivery exists only if purchased. It is a continuation of the same count, not a new theatre. Defect correction during a warranty window follows the warranty section. Training, if included, is a rehearsal with the client's placed roles, not a public course. The client shall send the people who actually occupy the roles.

The parties will first attempt to place a dispute as a correction: written particulars, a meeting of authorised representatives, and a fourteen-day period to hold a count, except for urgent injunctive relief or a claim for unpaid invoices. Mediation in London may be proposed. It is not compulsory unless both agree. Exclusive jurisdiction remains with the courts of England and Wales. Contact office@kaleshwara.digital.

46. Assignment, entire agreement and notices

A party may not assign the agreement without consent, except that KALESHWARA LTD may assign to a successor of its practice. The Contracts (Rights of Third Parties) Act 1999 is excluded. The statement of work, these Terms and Conditions, and any data processing terms form the entire agreement for the engagement. Website choreography copy is not a collateral warranty of a specific technical outcome. Variations must be written.

Notices must be in English and sent to the addresses in the statement of work or, if none, to 12 Stonor Road, London, United Kingdom, W14 8RZ and office@kaleshwara.digital. Email is received at the next UK working hour after it is capable of being accessed. Service of proceedings must follow English procedural rules. These Terms and Conditions are governed by the laws of England and Wales.

47. Closing acknowledgement

The client acknowledges that it has had a reasonable opportunity to read these Terms and Conditions, to ask questions via office@kaleshwara.digital, and to take independent legal advice. The rehearsal language used on kaleshwara.digital describes method; it does not reduce the seriousness of these legal marks. KALESHWARA LTD will keep this document available from the rehearsal directory of the website and will date material changes. Continued instruction after a posted change constitutes acceptance of the change for new work, not a rewriting of already accepted statements of work unless both parties agree.
